Terms & Conditions
Congratulations on making the decision to invest in yourself through coaching and the Make Shift Happen Academy courses, events and programs.
A quick note: Just as you wouldn’t make a significant investment in an old, beat-up clunker of a car, our services, courses, and programs are not the place for the unmotivated, unaccountable, or insincere. We serve highly motivated, purpose-driven leaders, entrepreneurs and executives who are eager to get better results for themselves, their teams, and their organizations. We also help leaders who are in transition prepare for their next move. If either of those criteria describe you, welcome aboard! We’re honored to be a part of your journey.
The Client desires to engage and hire the Company to provide personal and professional coaching, training, and facilitation services by electronic and other means to support their personal and professional development, and the Company desires to provide personal and professional coaching, training, and facilitation services to Client.
Company agrees to offer, and Client agrees to accept the programs and services included in the Package as outline below.
Make Shift Happen Academy program(s) that Client has paid for in full or in which payments are in good standing, as described below:
- Online course with audio and video lessons.
- Life Shift method book with activities and reflection work to support your journey.
- Weekly office hours with the client success team to provide individualized support by answering questions and laser coaching so that you can process your discoveries.
- Engaging online community of like-minded professional women for growth, inspiration, accountability, and support system.
NOTE: ONLY Programs that include Life Shift 201 & 301 (i.e. The Shift Accelerator) include the following additional services:
- Customized suite of assessments
- Group coaching and accountability calls
NOTE: ONLY Programs that Include Life Shift 401(The LeadherShift Collective) include the following additional services:
- Private coaching calls
- Review and feedback on work documents
- Scheduling & Cancellations: The number of coaching sessions provided and time allotted are based on each program offering. If you must miss a coaching session, please notify us in advance at support@marissaqpaine.com. The full program fee is expected, even if you are unable to attend every session. There are no refunds. In the unlikely event that the Company must cancel a session, a make-up and bonus session will be offered at no additional expense. Acts of nature or similar circumstances are excluded from this clause.
- Client 1-on-1 coaching appointments can be scheduled online. The link to schedule a 1:1 appointment will be provided during program orientation.
- Changes and/or cancellations of 1-on-1 appointments must be made at least 24 hours in advance to avoid being charged for and/or losing access to the session. A make-up and bonus session will be offered if your coach needs to cancel with less than 24 hours’ notice. Both coach and client agree to contact the other as soon as possible if they anticipate being late for a session.
- More than 10 minutes late may constitute a missed appointment at the discretion of the coach or client. Failure to attend more than 2 appointments without notice will likely constitute closure or reevaluation of the coaching relationship.
- Group Calls and Office Hours
- Our Commitment as Coach: In our coaching relationship, you can count on us:
- To serve as an objective listener, supporter, sounding board, thinking partner and “mirror” to help you see yourself and your situation from a productive vantage point.
- To continuously ask you evocative questions to explore, learn and grow from the issues and challenges you wish to address.
- To trust our intuition and be completely honest and forthcoming with you, even if some insights may be difficult for us to share and difficult for you to hear.
- To hold you accountable for the goals and priorities you set for yourself and raise it as a point of discussion when you aren’t following through.
- To celebrate and honor you as you move through the steps and milestones you set for yourself.
- To offer suggestions for exercises and activities that may advance your progress.
- Your Commitment to the Coaching Process: In exchange, we ask the client:
- To be “fully present” in your coaching sessions, media free and honoring the time as a valuable investment in your development and the development of your organization. If you must be late or miss a session, please be accountable and notify your coach in advance.
- To always be honest with yourself and your coach.
- To accept responsibility for your commitments in between coaching sessions and come prepared to each session with thoughts on how you want to use your individual coaching time.
- We do not provide 1-1 coaching to clients while they are driving. You may listen in, but we will not engage with clients while they are driving.
- To be proactive in raising issues that you want/need to discuss and to speak up when you disagree or are uncertain about any activity we suggest. If we forget something we’re supposed to cover, please, bring it up. Remember, this is your development time.
- To honor the terms of this agreement, and to communicate with your coach when you have concerns about your ability to do so.
- Closure or Reevaluation of the Coaching Relationship: There are sometimes circumstances in which it is best to bring closure to a coaching relationship prematurely and/or for the client to pursue a different Coach. Should this occur, we agree to discuss these circumstances in order to bring appropriate closure to our relationship and to ensure that the transition is managed smoothly and with dignity and respect. If your coach ever says or does something that upsets you or does not feel right, please bring it up. We promise to make you right for doing so, and to do what we can to make things right. Refunds and/or release from financial liability under the terms of this agreement will be at the discretion of the CEO.
Coaching sessions are completely confidential. We will not reveal the content of our coaching to anyone without your permission. This is sacred. We deeply respect your willingness and openness to share and will honor your transparency with support and non-judgment. Our mutual trust of each other is paramount in this relationship.
- Group Coaching: If you are participating in group coaching, it is critical that you also honor this clause for each member of the group; not disclosing the identity or anything shared in group with anyone outside of the group without the group member’s permission. This is a non-negotiable requirement for participation. If we find that this trust has been violated by any member of the group, that member will be in breach of this agreement and will be asked to leave the group without refund or release of liability for full payment.
- Confidentiality Limitations: If your employer or a third party is covering the coaching investment then they will obviously be aware of the relationship, however, we will not disclose content. Additionally, our support staff will be aware of our relationship and it’s possible that other persons may observe you entering and/or exiting our office and make assumptions about the nature of our relationship. Finally, the use of technology and automation limits exposure depending on where you login from and who has access to your technology. Of course, coaching is nothing to be embarrassed about; we LOVE our coaches and often sing their praises. We just like to be clear about the limitations of this confidentiality clause.
In the event that Company experiences a charge back to Company’s bank account because of Client’s check, debit or credit card returned payment, Client agrees to pay a $35 fee plus ALL fees charged to the Company by its financial institution. Access to the program will be denied until payment is received. Failure to pay, restricted access or failure to attend a session does not absolve the Client of their obligation to pay the Fees as agreed upon in this Agreement or entitle them to makeup sessions once caught up.
Client grants permission to have his/her name and contact information released to the International Coach Federation (ICF) for the sole purpose of documenting coaching hours for maintaining and furthering the coach’s level of professional certification. Client understands that during enrollment in the Make Shift Happen Academy programs through Marissa Q. Paine International (MQPI), photographs and/or video or audio recordings will be taken of their voice or image for training, learning, and/or recollection purposes. Events and group coaching sessions will be recorded and posted inside the client portal. Private sessions will be shared with clients at their request. Client hereby grants to Marissa Q. Paine International (MQPI) a non-exclusive license and right to use excerpts or completed works that may contain either an audio or video representation of myself. Client agrees and understands that MQPI may retain full ownership and usage rights of any photographs taken of client (including digital, transparency, print and/or negative format) in still, single, multiple, moving or video format.
This release and consent include, but is not limited to the following:
In addition, Client’s signature to this agreement, signifies agreement to and understanding that:
- I may be asked to submit or consent to allow the use of images of myself, if applicable, for advertising, promotion, marketing and packaging for products or services.
- That I have no rights to own, use, publish, inspect and/or approve the images, recordings or advertising, and all rights to the images or recordings belong to MQPI marketing & communications and assigns that the images or video may be combined with other images, text and graphics in conjunction with their own or a fictitious name, and cropped, altered, edited or modified.
- That I will receive no money or consideration of any kind for usage of images or video from MQPI related to this consent and release, and I will make no further claim to MQPI and/or its assignees.
- In connection with this consent and release, I discharge MQPI, its agents, employees, contractors, successors, and assignees from any and all claims and demands arising out of or in connection with the use of my work, talent, image, voice, or performances, including any and all claims for copyright infringement, defamation or invasion of privacy. This authorization and release shall inure to the benefit of the legal representatives, licensees and assigns of MQPI as well as, the person(s) who took photographs, video and audio recording or other media.
- I hereby certify and represent that I am over 18 years of age and have read the foregoing and fully understand the meaning and effect thereof.
From time to time, your coach may offer advice, opinions, or suggestions. You are free to accept or decline any such offerings without expectation or consequence and in so doing; you acknowledge that you alone are responsible for your decisions, choices, actions, and results and agree to hold your coach and the company free from all liability and responsibility resulting from perspectives given in or as a result of the coaching relationship. You acknowledge that while your coach may be a social worker or similar helping professional and your time together may be therapeutic, the coaching arrangement is not and should not be construed as therapy
or counseling of any sort. Additionally, coaching sessions should not be used as a substitute for legal, tax, accounting, medical, mental health, or other similar professional advice.
This agreement constitutes the entire agreement between the parties pertaining to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, and understandings, oral or written and may be modified only by an instrument in writing duly executed by both parties.
Our Terms of Use are effective until terminated by either party (you or MQPI “Company”). You have the right to terminate the Terms of Use at any time by ceasing your access to and use of Company affiliated websites, intimate forums or platforms. You must also destroy all materials, including copies, accumulated through your association with the Company, whether made under these Terms of Use or otherwise. If it is decided to terminate the Terms of Use, you must notify Company by sending a notice of termination by mail to:

We reserve the right to terminate these Terms of Use (including your access to and use of the Website) without cause and without notice to you, in our sole discretion. Upon termination, you must cease any access to or use of all MQPI operated online sites, intimate forums or platforms and destroy all materials obtained from any of the listed channels and all related documentation and all copies and installations thereof, whether made under these Terms of Use or otherwise. Furthermore, in appropriate circumstances, we will terminate users who are repeat infringers of copyright.
The provisions of these Terms of Use, which by their nature should survive the termination of these Terms of Use, shall survive such termination.
We reserve the right to revise this Agreement at any time without notice and you agree to be bound and abide by the revised Agreement. The modifications are effective immediately upon being posted to the site. It is your responsibility to monitor and review the Agreement for the most current terms and conditions. MQPI is void of any obligation to notify you of any changes. Your use of the Website following any updates to the Agreement legally signifies consent and acceptance of the revised Agreement.
Electronic Acceptance of this Agreement shall be deemed to be an executed Work for Hire Agreement enforceable and admissible for purposes as may be necessary under the terms of this Agreement. I have read and agree to the terms of this agreement as outlined on all the preceding pages.
You agree to be bound by any agreement, authorization, or approval you transmit through all MQPI “Company” affiliated websites, including but not limited to any consent you give to receive communications from Company solely through electronic transmission. You agree that in the future when you click on “I agree”, “I consent”, or additional similarly worded “button”, corresponding box, or data entry field with your mouse, keystroke, or other electronic devices your assent or consent will be legally binding and enforceable and the legal equivalent to your written signature.
